Professional Experience:

– elaboration of corporate schemes of clients’ business projects operation with emphasis to tax optimization and credibility before potential client’s counterparts; choice of jurisdictions and banks for operation of clients’ corporate accounts;

– providing advice to clients on various issues of local corporate laws and regulations in jurisdictions of considered incorporation;

– drafting of shareholder agreements, letters, memoranda of intent, JVAs before starting implementation of elaborated corporate structures;

– setting-up arrangements with local lawyers in various jurisdictions as regards incorporation of legal entities and with bank officers as regards opening corporate bank accounts;

– regular legal support of business activities of such legal entities like drafting minutes of shareholders meetings, powers of attorneys, execution of correspondence and communication with banks and registrars;

-support of negotiations in favor of clients;
